Delaware Decision Bolsters Protections for Majority Shareholders

See my article in today’s Daily Journal re: Swomley v. Schlecht, No. 180, 2015 (Del. Nov. 19, 2015), where the Delaware Supreme Court affirmed Vice Chancellor Travis Laster’s transcript ruling that it is appropriate to determine at the pleading stage whether a controlling stockholder transaction complies with MFW’s requirements and is therefore covered by the business judgment rule.  Good read for all transaction lawyers and M&A litigators.
